We will not use your name or logo in a manner that suggests you endorse RevGenius beyond participation in community programs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVGENIUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS,

• BUSINESS INTERRUPTION,
• DAMAGES FOR FAILURE OF PERFORMANCE,

• Violations of our Code of Conduct,
• Fraud or security concerns,
• Extended inactivity.

Upon termination:

• Your license to use the Services ends immediately,
• RevGenius may deactivate or delete your account,
• Certain surviving provisions (e.g., IP rights, indemnification, limitations of liability) remain in effect.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

You agree that any dispute arising from or relating to these Terms or the Services shall be brought exclusively in:

• The state courts of Delaware, or
• The federal courts located in the District of Delaware.

You consent to personal jurisdiction and venue in those courts.
